UniCredit announces that, pursuant to the resolution of the general shareholders' meeting of Zivnostenska banka a.s. ("Zivnostenska") held on August 16, 2005, published in the Czech Republic's Commercial Bulletin on December 7, 2005, it has today acquired title to the shares of Zivnostenska held by minority shareholders (amounting to 3.37% of Zivnostenska registered capital), thus becoming the holder of 100% of Zivnostenska registered capital.
The squeeze-out transaction has been carried out at a price of CZK5,000 per share. The total consideration to be paid by UniCredit for the shares held by minority shareholders is ca. CZK229 million equivalent to ca. €8 million.
