We are fully transparent in the disclosure of our governance practices, to help stakeholders, including investors, assess our Group in terms of management and effectiveness of our internal controls system.
Our governance system
Since its incorporation, UniCredit has adopted the traditional management and control system which is based on the existence of two corporate bodies, appointed by the Shareholders' Meeting: the Board of Directors, in charge of the strategic supervision and management of the company and the Board of Statutory Auditors, responsible for overseeing its effective management.
Following the amendments to the corporate governance model and the related by-laws resolved by the October 27, 2023, Extraordinary Shareholders' Meeting, starting from April 12, 2024, UniCredit has adopted the one-tier administration and control system. Such model provides for the appointment within the Board of Directors of an Audit Committee performing controls functions, in place of the Board of Statutory Auditors.
Legal accounting supervision is entrusted by the Shareholders' Meeting to an external audit firm, on proposal of the of the body performing controls functions.
