Compensation to non-executive directors
The remuneration of non-Executive Directors of UniCredit is:
- represented by a fixed component only
- determined on the basis of the importance of the position and the time required for the performance of the tasks assigned.
The compensation paid to non-Executive Directors is not linked to the economic results achieved by the Group and they do not take part in any incentive plans based on stock options or, generally, based on financial instruments.
Chief Executive Officer's compensation
The Chief Executive Officer is the only executive director on the Board and an employee of the company. For 2025, the CEO's fixed remuneration has been reviewed at €4.15 million, with total target remuneration set at €13 million, and room to reward over-performance to a maximum of 2:1 variable to fixed cap, based on performance achievements according to 2025 Group Incentive System rules.
