Koçbank: end of mandatory tender offer on Yapi ve Kredi Bankasi A.Ş. shares
UniCredit announces that the acceptance period of the mandatory tender offer launched by Koçbank A.Ş. ("Koçbank") for the shares of Yapi ve Kredi Bankasi A.Ş. ("YKB"), that it does not already own, ended on March 9, 2006. The number of YKB shares tendered in the offer is equal to 37,331.41, corresponding to 0.005% of YKB's share capital, for a total disbursement of TL 242,654.15 (ca. €152,000 at current exchange rate). YKB shareholders who tendered their shares in the offer will also have the right to the potential earn outs to be paid in the future, upon satisfaction of certain conditions described in the offer document.
With the conclusion of the mandatory tender offer on YKB shares, Koçbank has complied with the requirement of applicable Turkish law to launch a mandatory tender offer for YKB resulting from Koçbank's acquisition of a controlling shareholding of YKB in September 2006.
