UniCredit S.p.A. (the "Company" or "UniCredit") announces the completion on 20 June 2024 of the share buy-back programme communicated to the market on 9 May 2024 and initiated on the same date, as per the authorisation granted by the Shareholders' Meeting held on 12 April 2024 (the "Second Tranche of the Buy-Back Programme 2023").
On the basis of the information received from BofA Securities Europe SA as intermediary in charge of executing, in full independence (so-called "riskless principal" or "matched principal"), the Second Tranche of the Buy-Back Programme 2023, UniCredit informs, pursuant to art. 2, paragraph 3, of the Delegated Regulation (EU) 2016/1052, that it has carried out the transactions indicated below.

Under the Second Tranche of the Buy-Back Programme 2023, UniCredit purchased no. 44,859,171 shares, equal to 2.67% of the share capital, for a total consideration of Euro 1,585,249,901.47.
In execution of the resolution passed by the shareholders' meeting held on 12 April 2024, the Company expects to proceed, within the term established by the aforementioned resolution, with the cancellation of all the shares purchased in execution of the Second Tranche of the Buy-Back Programme 2023. The cancellation will be communicated to the market in accordance with applicable laws and regulations.
