Merger into UniCredit S.p.A. of UniCredit Audit S.C.p.A., UniCredit Logistics S.r.l., UniCredit Merchant S.p.A. and UniManagement S.C.r.l.

The Board of Directors of UniCredit approved in its meeting of last 3rd August the merger into  UniCredit S.p.A. of UniCredit Audit S.C.p.A., UniCredit Logistics S.r.l., UniCredit Merchant S.p.A. and UniManagement S.C.r.l.

The transaction is aimed at the optimization of some activities currently carried out by subsidiaries  and will allow to carry out in a more "focused" way the activity thanks to the elimination of overlapping and duplication of structures and administrative activities, with advantages in terms of overall efficiency

Bank of Italy gave its authorization on the merger plan on October 17 th 2012.

During the month of  December; the merger has been approved by the shareholders' meeting of the incorporated companies  and by UniCredit Board of directors (pursuant to section 2505 of the Italian Civil Code) . It is envisaged that  the merger will become effective within the first quarter of the year 2013.
