UniCredit S.p.A. informs you that according to the current provisions of Law the Board of Directors has completed today the assessment concerning the integrity and experience requirements of Director Mr. Saccomanni, coopted on November 8, as well as the independence requirements laid down by sec. 20 of the Articles of Association, sec. 3 of the Corporate Governance Code for Listed Companies and sec. 148 of the Legislative Decree no. 58/98. To that regard, the Board informs you that no information emerged about professional, business and credit relationships (either directly or indirectly) that might affect the independence of Director Mr. Saccomanni.

 

Furthermore, the Board of Directors verified the correspondence of the profile of the coopted Director with the qualitative and quantitative Profile of the Board, also in regard to the maximum number of offices allowed to be held and the inexistence of any situations falling within the scope of Sec. 36 of the L.D. no. 201/2011 ("no-interlocking").

 

Finally UniCredit informs that, in consideration of the experience and the specific skills, as well as the willingness to accept the position, the Board of Directors has appointed Director, Mr. Saccomanni, as a member of the Corporate Governance, Nomination and Sustainability Committee and of the Internal Controls and Risks Committee.
