Merger of Buddy Servizi Molecolari S.p.A. into UniCredit S.p.A.

MERGER PLAN OF BUDDY SERVIZI MOLECOLARI S.P.A. IN UNICREDIT S.P.A.

The Board of Directors of UniCredit S.p.A. approved in its meeting of last 13 March 2017  the merger plan of Buddy Servizi Molecolari S.p.A. into UniCredit S.p.A..

The European Central Bank gave its authorization to the mentioned transaction on 10 May 2017.

The merger has been approved by the Board of Directors of Buddy Servizi Molecolari S.p.A on July 3^rd 2017 and, pursuant to article 2505, paragraph 2, of the Italian Civil Code and article 23 of the Articles of Association, by the Board of Directors of UniCredit S.p.A. on July 6^th 2017.

The merger is expected to become effective on 1^st July 2017
